Samfils Vendor Terms | Conditions

This document serves as the official vendor agreement between Samfils (“Marketplace Owner”) and all registered vendors (“Vendors”).

1. Introduction

Welcome to Samfils, a multivendor marketplace where independent sellers can create storefronts, list products, and manage their own business operations. By registering as a Vendor, you agree to follow all terms outlined in this agreement.

Samfils provides the platform only. Therefore, each Vendor remains fully responsible for their own products, listings, transactions, and legal obligations. At no time does Samfils act as a seller of vendor products.

2. Vendor Eligibility

To qualify as a Vendor, you must:

  • Be at least 18 years old

  • Provide accurate and verifiable registration details

  • Accept these Vendor Terms and the Samfils Marketplace Terms of Use

  • Maintain an active payment method (PayPal, Stripe, or bank account)

Additionally, Samfils reserves the right to approve, reject, or suspend any Vendor account at our sole discretion.

3. Vendor Store Responsibilities

As a Vendor, you must:

  • Maintain accurate product descriptions, images, pricing, and inventory

  • Fulfill orders promptly and professionally

  • Sell only legal, safe, and original products

  • Communicate respectfully with customers

  • Keep your storefront updated and functional

  • Follow all marketplace policies regarding shipping, returns, and refunds

Any deceptive, misleading, or unlawful conduct may lead to immediate suspension.

4. Prohibited Products for Vendor

Vendors may not sell:

  • Illegal, restricted, or regulated items

  • Counterfeit or copyright-infringing products

  • Weapons, drugs, or hazardous materials

  • Hate-based or discriminatory content

  • Items that violate consumer safety standards

Samfils retains the right to remove prohibited listings without notice.

5. Commission & Fees

A platform commission is automatically deducted from each completed order. Additional fees may apply, including:

  • Withdrawal charges

  • Payment gateway fees

  • Transaction fees

  • Chargeback or dispute fees

Samfils may update fee structures, and Vendors will be informed before changes.

6. Order Processing & Fulfillment

Vendors are solely responsible for:

  • Preparing, packaging, and shipping orders

  • Setting accurate shipping charges

  • Using reliable shipping methods

  • Updating order status and providing tracking information

Failure to fulfill orders may result in penalties, visibility loss, or suspension.

7. Returns, Refunds & Cancellations

Vendors must clearly display their store policies covering:

  • Return and refund eligibility

  • Condition requirements

  • Cancellation terms

  • Exchange procedures

When disputes arise, Samfils may intervene and make a final decision based on fairness and available evidence.

8. Payments & Withdrawals

Vendor earnings become eligible for withdrawal after reaching the $10 threshold. Payments may be withdrawn through approved methods.

Samfils is not responsible for:

  • Vendor-provided payment errors

  • Delays caused by banks or payment providers

  • Third-party transaction fees

Vendors must ensure their payment details remain accurate.

9. Tax Responsibility

Vendors are fully responsible for:

  • Reporting earnings

  • Managing all tax obligations

  • Complying with local, state, and international tax laws

Samfils does not provide tax, legal, or financial advice.

10. Vendor Conduct

All Vendors must maintain:

  • Professional communication

  • Honest business practices

  • Compliance with consumer protection and marketplace laws

Harassment, abuse, or platform misuse may result in immediate termination.

11. Intellectual Property

Vendors must own or have legal rights to all images, logos, product designs, descriptions, and related content. Any intellectual property infringement may result in immediate account removal and further investigation.

12. Account Suspension or Termination

Samfils may suspend or terminate vendor accounts if:

  • Products violate marketplace rules

  • Orders remain consistently unfulfilled

  • Fraud or manipulation is detected

  • Excessive complaints are received

Suspended vendors may contact support to request a review.

13. Liability Disclaimer

Samfils acts solely as a hosting platform. Therefore, Samfils is not liable for:

  • Vendor mistakes or negligence

  • Product defects, inaccuracies, or safety issues

  • Shipping delays, delivery failures, or lost items

  • Customer disputes or dissatisfaction

  • Vendor financial losses or legal consequences

Each Vendor assumes full responsibility for their own business operations, product quality, customer service, and regulatory compliance.

14. Amendments

Samfils may modify these Vendor Terms at any time. Vendors will be notified of significant updates. Continued use of the platform constitutes acceptance of revised terms.
